WELLINGBOROUGH & DISTRICT ATHLETIC CLUB

 

CONSTITUTION AND RULES

(approved 25,9,2003)


 
NAME 1.1 The name of the club shall be called Wellingborough & District Athletic Club, hereafter to be referred to as `the club` and shall be affiliated to UK ATHLETICS.
AIMS 2.1 To promote and encourage athletics at all levels, providing opportunities for recreation and competition according to UK Athletics laws and rules.
HEADQUARTERS 3.1 The Headquarters of the club shall be The Wellingborough Old Grammarians Sportsfield, Sywell Road, Wellingborough.
MEMBERSHIP 4.1 Membership of the club is confined to Athletes as defined by UK Athletics as follows:
  An Amateur is one who has never competed for a money prize or monetary consideration in any athletic sport or game, or been in anyway interested in a staked bet or wager made in connection with any athletic competition in which he or she was an entrant or competitor; who has never engaged in, assisted in, or taught any athletic exercise for pecuniary gain or consideration, or in anyway exploited his or her athletic ability for profit, and who has never taken part in any athletic competition with anyone who is not an amateur.
  4.2 A candidate applying for membership must complete a membership application form and pay the relevant subscription/joining fee as determined by the Annual General Meeting of club members. The application for membership shall be considered at the next General Committee meeting.
  4.21 Entitlement to membership shall be without reference to nationality, race,gender,colour,sexual persuation or religious affiliation.
  4.3 There shall be (four) classes of membership available. These are:

  4.5 Junior member (under 16 years of age)
  4.6 Associate member
  4.7 Honorary member
OFFICERS 5.1 The management of the club shall be vested in a committee consisting of the following : Chairman (Executive Officer), Vice Chairman (Executive Officer),  Honorary Secretary (Executive Officer), Honorary Treasurer (Executive Officer), Cross Country Secretary, Youth Officer, Club Captains and two elected members.
ELECTION OF OFFICERS 6.1 All officers shall be elected at the Annual General Meeting of the club, from and by the members of the club.
  6.11 All those eligible must be members of the Old Grammarians Sports Club.
  6.2 All officers are elected for a period of one year, but may be re-elected to the same office or another office as deemed necessary.
GENERAL COMMITTEE 7.1 The affairs of the club shall be controlled by a general committee comprising of the Executive Officers of the club and six other members elected from, and by, the Full members of the club. The General committee shall meet at agreed intervals and not less than four times per year.
  7.2 The duties of the general committee shall be:
  7.3 To control the affairs of the club on behalf of the members
  7.4 To keep accurate accounts of the finances of the club through the Treasurer. These should be available for reasonable inspection by members and should be audited before every annual general meeting. The club shall maintain a bank current account and the following officers shall be authorised to sign club cheques: Any two Executive Officers.
  7.5 The committee will have the power to co-opt further members onto the committee as deemed necessary. Co-opted members shall not be entitled to vote on the Committee.
  7.6 To make decisions on the basis of a simple majority vote. In the case of equal votes, the Chairperson shall be entitled to an additional casting vote.
MEETINGS 8.1 The Annual General Meeting will be held no later than the end of September each year to elect Officers and Committee and deal with any other matters specified on the agenda. Twenty one days notice shall be given to members of the Annual General Meeting.  Any nominations for officers or committee and any proposals for changes to the rules or other items for the agenda must be with the Secretary fourteen days prior to the meeting. The Secretary shall circulate or give notice of the agenda for the meeting to members not less than seven days before the meeting.
  8.2 General Committee meetings shall be held during the first full week of each month.
  8.3 The business of the Annual General Meeting shall be to:
  8.4 Confirm the minutes of the previous Annual General Meeting and any General Meetings held since the last Annual General Meeting.
  8.5 Receive audited accounts for the year from the Treasurer.
  8.6 Receive the annual report of the Committee from the Secretary.
  8.7 Elect an auditor.
  8.8 Elect the Officers of the Club.
  8.9 Review Club subscriptions rates and agree them for the forthcoming year.
  8.10 Transact such other business received in writing by the Secretary from members 14 days prior to the meeting and included on the agenda.
  8.11 Special General Meetings may be convened by the General Committee or on receipt by the Secretary of a request in writing, from not less than three Full members of the Club. At least 21 days notice of the meeting shall be given.
  8.12 Nominations of candidates for election of Officers shall be made in writing to the Secretary at least 14 days in advance of the Annual General Meeting date. Nominations can only be made by Full members and must be seconded by another Full member. 
  8.13 At all General Meetings, the Chair will be taken by the Chairman or, in his absence by the Vic Chairman.
  8.14 Decisions made at a General Meeting shall be by a simple majority of votes from those Full Members attending the meeting. In the event of equal votes, the Chairman shall be entitled to an additional casting vote.
  8.15 A quorum for a General Meeting shall consist of five full members including three executive officers of the club.
  8.16 Each full member of the club shall be entitled to one vote at General Meetings.
  8.12 An Extra-Ordinary General Meeting may be called at the request of twenty members of the club. Such meetings to be covered not later than fourteen days after the receipt by the secretary of the written request for the meeting and drafts of all the resolutions to be proposed.

ALTERATIONS TO CONSTITTION AND RULES

9.1 Any proposed alteration to the club constitution may only be considered at an Annual or Special General Meeting, convened with the required written notice of the proposal. Any alteration or amendment must be proposed by a full member of the Club and seconded by another full member. Such alterations shall be passed or supported by not less than two thirds of the full members present at the meeting, assuming that a quorum has been achieved.

SUBSCRIPTION 10.1 The amount of Annual subscription will be set at the Annual General Meeting. The annual subscription will be due on The 30th September each year.  Subscription not paid by the 1st December will attract a £5 levy.  Members joining during the year will pay proportionate part of the annual amount due.
  10.2 The Annual Accounts year will finish on August 31st .
CLUB COLOURS 11.1 All members must compete in club colours. Green vest.  Black shorts (optional).
DISSOLUTION 12.1 If at any General Meeting of the Club, a resolution be passed calling for a dissolution of the Club, the Secretary shall immediately convene a Special General Meeting of the Club to be held not less than one month thereafter to discuss and vote on the resolution.
  12.2 If at that Special General Meeting, a resolution is carried by at least two thirds of the full members present at the meeting, the General Committee shall thereupon, or on such date as shall be specified in the resolution, proceed to realize the assets of the Club and discharge all debts and liabilities of the club.
  12.3 Should the occasion arise that the club should be dissolved the assets should be sold at the discretion of the club and all monies and other matters transferred to the Northamptonshire Athletics Association.
